## Qaraah Films™ SERVICES
The Producer agrees to provide the following services as selected below (that apply):
- [x] **Beat Production** — Original beat(s) created from scratch to Buyer's specifications
- [x] **Track Production** — Full track production including arrangement and instrumentation
- [x] **Mix-down Mastering** — Professional mixing and final mastering in one session
- [x] **Mastering Only** — Final mastering of Buyer's pre-mixed audio for release
- [x] **Publishing (Co-Write)** — Producer credited as co-writer; 50/50 publishing split applies
## DELIVERABLES
The Producer will deliver the following upon project completion:

## COMPENSATION
**Total Service Fee:** varies; $500.00 Beats Only
**Deposit Required (50% due to begin work):** $250.00
**Balance Due (upon delivery of final files):** $250.00
**Payment Method:** Wix Digital Payments Only, No CASH!
Mix-downs & Mastering all price varies. Mix-Downs/Mastering
Is in agreement with this. Producing Digital Contract.

50/50 SPLIT
Where the Producer contributes to the composition, arrangement, or co-writes on any track covered under this Agreement, the following publishing split applies:

**Both parties agree to:**
- Register the work with their respective Performing Rights Organization (PRO), such as ASCAP, BMI, or SESAC, under the above split
- Credit the Producer on all digital platforms, streaming services, and release materials as:

- Not alter, reassign, or dispute the publishing split once this Agreement is signed

Additional revisions beyond, will be the amount: $150.00 per revision

## TERMS & CONDITIONS
1. **Digital Download Only:** All files are delivered digitally. No physical product will be provided. Buyer is responsible for downloading and storing their files securely upon delivery.
2. **No Refunds:** All deposits are non-refundable. Work begins upon receipt of deposit.
3. **No Returns:** Due to the custom and digital nature of this service, no refunds are issued once work has begun or files have been delivered.
4. **Ownership:** Producer retains ownership of the underlying beat/instrumental unless an exclusive license is purchased. Under an exclusive agreement, the beat will not be re-licensed after exclusivity is confirmed and full payment is received.
5. **Non-Exclusive Use:** Under a non-exclusive agreement, Buyer may record and distribute the beat on digital platforms. Qaraah Films™ retains the right to license the same beat to other artists.
6. **Resale Prohibited:** Buyer may not resell, sublicense, or transfer the beat, track, or master to any third party without prior written consent from Qaraah Films™.
7. **Producer Credit Required:** Failure to credit the Producer on released recordings constitutes a breach of this Agreement.
8. **Publishing Registration:** Each party is solely responsible for registering their own publishing share with their PRO. Qaraah Films™ is not responsible for any delays or errors in the Buyer's registration.
9. **Completion Timeline:** Producer will make reasonable efforts to deliver within the agreed turnaround. Delays caused by the Buyer (late feedback, late payment, withheld materials) extend the timeline accordingly.
10. **Governing Law:** This Agreement shall be governed by the laws of the State of Colorado.
